Terms of Service

The agreement between OperationsIQ LLC and the businesses and people who use the platform.

These Terms of Service (“Terms”) govern access to and use of the OperationsIQ platform, this website, and any customer workspace hosted at <company>.myoperationsiq.com (together, the “Service”), provided by OperationsIQ LLC (“OperationsIQ”, “we”). By using the Service you agree to these Terms. If you are agreeing on behalf of a business, you represent that you are authorised to bind that business (the “Customer”).

These Terms are provided for general information and are not legal advice. A written order form or master services agreement signed by both parties takes precedence over this page where the two differ.

1. Accounts and workspaces

Each Customer is provisioned an isolated workspace. The Customer is responsible for the accuracy of the users, locations and roles it configures, for keeping credentials secure, and for all activity under its accounts. Notify us promptly at admin@myoperationsiq.com if you believe an account has been compromised.

Individual users (for example, employees of the Customer) may use the Service only as authorised by the Customer.

2. Subscriptions, fees and billing

  • The Service is sold on a subscription basis. Fees depend on the modules enabled, the number of locations, and — for CoverageIQ — the number of scheduled employee seats.
  • Fees are quoted and confirmed in writing before a subscription begins.
  • Subscriptions are billed monthly or annually in advance through Stripe. Adding a location or module mid-cycle is prorated.
  • Fees are exclusive of taxes. The Customer is responsible for applicable sales and use taxes.
  • Unless stated otherwise in an order form, fees are non-refundable for the period already billed.
  • We may change fees on renewal with at least 30 days’ written notice to the account administrator.
  • We may suspend a workspace for non-payment after written notice and a reasonable opportunity to cure.

3. Customer data

The Customer owns all data it or its users submit to the Service (“Customer Data”). OperationsIQ processes Customer Data only to provide and support the Service, as described in the Privacy Policy. We do not sell Customer Data and we do not use it to advertise to anyone.

The Customer is responsible for having a lawful basis to provide employee data, including mobile phone numbers, and for obtaining any consents its jurisdiction requires. SMS consent is captured in the Service and is never a condition of employment.

On termination, the Customer may export its data during a wind-down window; after that window the workspace and its data are deleted.

4. Acceptable use

You may not:

  • Use the Service to send unsolicited marketing messages, whether by email or SMS
  • Upload unlawful content, malware, or data you have no right to provide
  • Attempt to access another Customer’s workspace or data
  • Probe, scan or test the vulnerability of the Service without our prior written consent
  • Reverse engineer, resell, or sublicense the Service except as expressly permitted
  • Use the Service to make automated employment decisions in a way that violates applicable law

5. Messaging

Operational text messages are governed by our SMS Terms. The Customer must not use OperationsIQ messaging for promotional or marketing content. Recipients may opt out at any time by replying STOP, and the Customer may not re-enrol a recipient who has opted out without a fresh opt-in.

6. Availability and support

We aim to keep the Service available at all times and will use commercially reasonable efforts to do so. Planned maintenance is scheduled outside peak operating hours where practicable and announced in advance. A specific uptime commitment applies only where one is set out in a signed order form.

Support is provided by email at admin@myoperationsiq.com. Response targets depend on the plan.

7. Intellectual property

OperationsIQ and its licensors retain all right, title and interest in the Service, including the software, the OperationsIQ name and the CoverageIQ, AnalyticsIQ, ChecklistIQ, MembershipIQ and MaintenanceIQ module names and marks. Nothing in these Terms transfers ownership of the Service to the Customer. Feedback you give us may be used freely and without obligation.

8. Third-party services

The Service integrates with third-party providers, including payment processing, messaging carriers and email delivery. Their availability and terms are outside our control. We are not responsible for the acts or omissions of a carrier, including delayed or undelivered messages.

9. Disclaimers

Except as expressly stated, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Forecasts, schedules and analytics produced by the Service are decision-support outputs, not guarantees; the Customer remains responsible for its own staffing, safety, wage-and-hour and employment decisions.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising out of or related to the Service. Each party’s total aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by the Customer to OperationsIQ in the twelve months preceding the event giving rise to the claim. These limits do not apply to a party’s indemnity obligations, breach of confidentiality, or liability that cannot be limited by law.

11. Term and termination

Subscriptions continue until cancelled. Either party may terminate for material breach that remains uncured 30 days after written notice. The Customer may cancel by emailing admin@myoperationsiq.com; monthly plans end at the close of the current cycle and annual plans at the end of the term. Sections that by their nature should survive termination — including fees owed, data, intellectual property, disclaimers and limitation of liability — survive.

12. Changes to these Terms

We may update these Terms. Material changes will be notified to account administrators by email at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.
